Welcome to Lumesoon.

These Terms of Service govern your access to and use of the Lumesoon website, applications, APIs, software, products and services, including all related features, tools and content made available through Lumesoon.

By creating an account, accessing or using Lumesoon, you confirm that you have read, understood and agreed to be legally bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Services.

These Terms form a legally binding agreement between you and Lumesoon.

Throughout these Terms, "Lumesoon," "we," "our," and "us" refer to Lumesoon and its owners, operators, affiliates, successors and permitted assigns. "You" and "your" refer to the individual or legal entity using our Services.

If you use Lumesoon on behalf of a company, organization or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Eligibility

To use Lumesoon, you must satisfy all of the following conditions.

You must be at least 18 years old to create an account or use the Services. If you are under 18 years old, you may not access or use Lumesoon unless applicable law expressly permits such use and you have the consent and active supervision of a parent or legal guardian. Lumesoon reserves the right to request age verification at any time and may suspend or terminate accounts that do not satisfy this requirement.

You must be legally capable of entering into binding contracts under the laws applicable in your jurisdiction.

You must be at least the minimum legal age required to use our Services in your country.

If you are under the required legal age, you may only use Lumesoon with the consent and supervision of a parent or legal guardian.

You must not use our Services if any applicable law prohibits you from doing so.

By using Lumesoon, you represent and warrant that all information you provide is accurate, complete and current.

We may request additional verification at any time before allowing continued access to some or all Services.

2. Account Registration

Certain features require an account.

When creating an account, you agree to provide accurate and complete information.

You agree to keep your information updated whenever changes occur.

You may not:

• Create an account using false information.
• Impersonate another individual or organization.
• Register an account for fraudulent purposes.
• Circumvent account restrictions.
• Create multiple accounts to abuse promotions, subscriptions, referral programs or platform limits.
• Share accounts in a manner not authorized by Lumesoon. We reserve the right to reject any registration request for any reason permitted by law.

Account approval remains at our sole discretion.

3. Account Security

You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for every activity performed using your account, whether authorized by you or not.

You agree to:

• Use a strong password.
• Protect your login credentials.
• Enable available security features.
• Notify us immediately if you suspect unauthorized access. Lumesoon is not responsible for losses arising from your failure to protect your account credentials.

We may suspend access while investigating suspected unauthorized activity.

4. Platform Services

Lumesoon provides a collection of digital content creation tools and related services.

Depending on your subscription, Services may include:

• Script writing
• Voice generation
• Voice cloning
• Speech synthesis
• Audio transcription
• Subtitle generation
• Meeting transcription
• Meeting summaries
• Content generation
• Creator tools
• APIs
• Integrations
• Analytics
• Other services introduced from time to time Features available under one subscription may not be available under another.

Some Services may require additional verification, identity confirmation or separate agreements before access is granted.

We reserve the right to improve, replace, suspend or discontinue any feature without prior notice where reasonably necessary.

5. Service Availability

While we aim to provide reliable Services, uninterrupted availability cannot be guaranteed.

Maintenance, upgrades, security events, hardware failures, software failures, internet disruptions, cloud provider outages, payment provider issues or circumstances beyond our reasonable control may temporarily affect access.

You acknowledge that temporary interruptions do not constitute a breach of these Terms.

Lumesoon is not responsible for losses arising from downtime, maintenance or interruptions beyond our reasonable control.

6. Free Plans and Promotional Access

Lumesoon may provide free plans, promotional access, free credits, trial access, beta features or complimentary services.

These offerings:

• Are provided entirely at our discretion.
• May be modified or withdrawn at any time.
• Do not create any obligation to continue providing free access.
• May contain feature limitations.
• May be revoked where abuse is detected. Using free access does not guarantee future availability of the same features.

Free access may be subject to separate limitations published within the platform.

7. Paid Subscriptions

Certain Services require payment.

By subscribing, you authorize us and our payment providers to charge the applicable subscription fees.

Subscriptions may renew automatically unless cancelled before the next billing cycle where automatic renewal is enabled.

You are responsible for reviewing your subscription before renewal.

Failure to cancel before renewal does not create an obligation for Lumesoon to issue a refund.

Subscription pricing, included features, usage limits and available plans may change from time to time.

Any pricing changes will apply only as permitted by applicable law.

8. Credits

Some Services operate using usage credits.

Credits may be provided through:

• Subscription plans

• Credit purchases

• Promotions

• Bonuses

• Affiliate rewards

• Other programs offered by Lumesoon Credits:

• Have no cash value.

• Are non-transferable unless expressly permitted.

• May expire according to the applicable plan.

• Cannot be exchanged for money.

• Cannot be sold.

• Cannot be pledged or assigned.

• May not be transferred between unrelated accounts. Credits consumed through platform usage cannot be restored except where required by applicable law or where Lumesoon determines an internal processing error occurred.

Where suspicious activity, fraud, payment disputes or abuse is detected, Lumesoon may suspend, adjust or remove credits pending investigation.

9. Billing

You agree to pay all applicable charges associated with your account.

All fees are payable in advance unless otherwise stated.

Applicable taxes, duties, bank charges, payment processor fees and currency conversion fees remain your responsibility unless expressly stated otherwise.

Failure to complete payment may result in:

• Subscription suspension.
• Restricted platform access.
• Credit removal.
• Account limitation.
• Service termination. Lumesoon may use third party payment processors to securely process transactions.

We do not store complete payment card information on our own servers unless expressly stated.

Payment failures caused by your bank, payment provider or financial institution remain your responsibility.

10. Subscription Changes

You may upgrade, downgrade or cancel your subscription through your account where those options are available.

Plan changes may take effect immediately or at the beginning of the next billing cycle depending on the applicable subscription rules.

Changing your subscription does not automatically create refund eligibility.

Unused portions of a subscription are generally not refundable except where required by applicable law or expressly provided in our Refund Policy.

11. Taxes

You are responsible for paying any taxes that apply to your purchases under the laws of your jurisdiction.

Where required by law, Lumesoon may collect and remit applicable taxes on your behalf.

You remain responsible for any additional tax obligations that may arise from your use of the Services.

12. Account Verification

To protect our users and platform, we may request identity verification, business verification, payment verification or ownership verification at any time.

Failure to provide requested information within a reasonable period may result in temporary or permanent restrictions on your account.

Verification does not guarantee continued access to the Services.

Lumesoon reserves the right to refuse or discontinue Services where verification requirements are not satisfied.

13. User Content

You retain ownership of the content you upload to Lumesoon.

This may include text, audio, recordings, voice samples, images, documents, prompts and other materials you submit through the Services.

By uploading or submitting content, you grant Lumesoon a worldwide, non-exclusive, royalty-free license to host, process, store, transmit, reproduce and modify your content solely for the purpose of operating, securing, maintaining and improving the Services.

This license ends when your content is permanently deleted from our systems, except where retention is required by law, for legitimate business purposes, backup systems, dispute resolution or security investigations.

You are solely responsible for the content you upload.

You represent and warrant that:

• You own the content or have all necessary rights to use it.
• Your content does not infringe the rights of others.
• Your content complies with applicable laws.
• You have obtained every permission, license and consent required before uploading the content.
• Your content does not violate these Terms or any applicable policy. Lumesoon does not assume responsibility for verifying ownership of user content.

14. Voice Recordings and Voice Cloning

Voice cloning is a powerful feature that must only be used lawfully and responsibly.

You may upload voice recordings only when you have full legal authority to do so.

By submitting any voice sample, you represent and warrant that:

• The recording belongs to you, or

• You have obtained clear and legally valid permission from the individual whose voice is being used. You must not:

• Clone a person's voice without their permission.

• Upload stolen recordings.

• Impersonate another person.

• Create misleading or deceptive recordings.

• Produce fraudulent audio.

• Generate content intended to deceive, defraud or impersonate public officials, businesses or private individuals.

• Violate publicity rights, privacy rights or personality rights. You are solely responsible for every voice generated through your account.

Lumesoon does not verify ownership of uploaded voices.

Lumesoon is not responsible for claims arising from unauthorized voice uploads, cloned voices or generated audio created by users.

Users agree to indemnify Lumesoon against any claims arising from their use of voice-related features.

Additional requirements regarding voice generation are described in our Voice Usage Policy, which forms part of these Terms.

15. Generated Content

Content generated through Lumesoon is produced based on user instructions and uploaded materials.

You are solely responsible for reviewing all generated output before publishing, distributing, broadcasting or relying upon it.

Lumesoon does not guarantee that generated content will be:

• Accurate.
• Complete.
• Original.
• Error free.
• Suitable for a particular purpose.
• Free from factual inaccuracies.
• Free from legal issues.
• Free from third-party rights. You are responsible for verifying all generated content before commercial, legal, financial, educational or public use.

Lumesoon accepts no responsibility for decisions made using generated content.

16. Acceptable Use

You agree to use the Services responsibly and lawfully.

You must not use Lumesoon to:

• Break any law.
• Violate intellectual property rights.
• Harass or threaten others.
• Promote violence.
• Promote terrorism or organized crime.
• Commit fraud.
• Create phishing material.
• Distribute malware.
• Attempt unauthorized access.
• Circumvent platform security.
• Reverse engineer the Services except where permitted by law.
• Interfere with platform operations.
• Distribute spam.
• Abuse system resources.
• Scrape data without permission.
• Create deceptive identities.
• Upload harmful software.
• Perform automated attacks.
• Abuse promotional offers.
• Resell Services without written authorization. Lumesoon may determine, acting reasonably, whether conduct violates these Terms.

17. Intellectual Property

Except for user-owned content, all rights in the Services remain the exclusive property of Lumesoon and its licensors.

This includes:

• Software.
• Source code.
• Designs.
• Logos.
• Branding.
• Trademarks.
• Documentation.
• Databases.
• Platform interfaces.
• Website content.
• Graphics.
• Features.
• Layouts. Nothing in these Terms transfers ownership of our intellectual property to you.

You may not copy, modify, reproduce, distribute or commercially exploit any part of the Services except where expressly permitted.

18. APIs and Integrations

Lumesoon may provide APIs and integrations for approved users.

API access is subject to separate limits and technical requirements.

You agree not to:

• Abuse API rate limits.
• Share API credentials.
• Attempt unauthorized access.
• Circumvent usage restrictions.
• Use APIs in ways that threaten platform stability. API availability may change without notice.

Lumesoon may suspend or revoke API access where misuse or security concerns arise.

19. Third Party Services

The Services may integrate with third-party providers.

These may include payment processors, storage providers, communication providers, authentication services and other technology partners.

Your use of third-party services may also be governed by their own terms and privacy policies.

Lumesoon is not responsible for:

• Third-party products.
• Third-party websites.
• Third-party services.
• Third-party outages.
• Third-party pricing.
• Third-party security practices.
• Third-party content. Links to external websites do not imply endorsement.

20. Monitoring and Enforcement

To protect the platform, Lumesoon may monitor usage, investigate suspected abuse and take appropriate enforcement action.

This may include:

• Reviewing reported content.
• Reviewing uploaded files.
• Reviewing abuse reports.
• Restricting features.
• Suspending accounts.
• Removing content.
• Reporting unlawful activity to relevant authorities where legally required or permitted. Monitoring activities are conducted in accordance with applicable privacy laws.

21. Suspension and Termination

Lumesoon may suspend or terminate access immediately where reasonably necessary to protect the platform, our users or our legal interests.

Reasons may include:

• Violation of these Terms.
• Fraud.
• Payment disputes.
• Chargeback abuse.
• Illegal activity.
• Platform abuse.
• Security threats.
• False identity.
• Repeated policy violations. Suspension may occur without prior notice where immediate action is reasonably necessary.

Termination of an account does not automatically entitle a user to compensation, refunds or restoration of lost credits except where required by applicable law.

Upon termination, your right to use the Services ends immediately.

Certain provisions of these Terms will continue to apply after termination, including provisions relating to intellectual property, payment obligations, disclaimers, limitation of liability, indemnification and dispute resolution.

22. Data Retention

After account closure, Lumesoon may retain certain information for legitimate business purposes, legal compliance, fraud prevention, dispute resolution, security investigations, backup restoration and enforcement of these Terms.

We are not obligated to retain user content indefinitely after account closure.

Deleted content may remain in encrypted backups for a limited period before permanent removal through normal backup rotation processes.

23. Platform Changes

We continually improve the Services.

Lumesoon may add, remove, modify or discontinue any feature, functionality, integration or subscription offering at any time.

Nothing in these Terms guarantees the continued availability of any specific feature.

Reasonable efforts will be made to notify users where material changes significantly affect paid Services.

24. Beta Features

From time to time, Lumesoon may release experimental or beta features.

Beta features may contain bugs, limitations or incomplete functionality.

They are provided on an "as available" basis without guarantees regarding stability, accuracy or availability.

Lumesoon may discontinue beta features at any time without liability.

25. Feedback

If you submit suggestions, ideas, recommendations or feedback regarding the Services, you grant Lumesoon a perpetual, worldwide, irrevocable, royalty-free license to use, modify, publish and incorporate that feedback without compensation or attribution.

You acknowledge that providing feedback does not create any ownership interest or right to payment.

26. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Lumesoon makes no representation or warranty, express, implied or statutory, regarding the Services.

Without limitation, we do not warrant that the Services will:

• Meet your individual requirements.
• Be uninterrupted.
• Be continuously available.
• Be secure at all times.
• Be error free.
• Be free from bugs or defects.
• Operate without delays.
• Produce accurate results.
• Produce complete results.
• Produce legally compliant results for every jurisdiction.
• Produce unique or original content.
• Prevent infringement claims.
• Be compatible with every device, browser or operating system. You acknowledge that your use of the Services is entirely at your own risk.

No advice or information provided by Lumesoon, whether written or oral, creates any warranty unless expressly stated in writing by an authorized representative of Lumesoon.

27. No Professional Advice

Content generated through Lumesoon is provided for general informational and creative purposes only.

The Services do not provide legal, financial, accounting, tax, investment, employment, medical, engineering or other regulated professional advice.

You remain solely responsible for obtaining independent professional advice before making decisions based on generated content.

Lumesoon accepts no responsibility for decisions made in reliance upon generated content.

28. User Responsibility

You are solely responsible for:

• Every action taken through your account.
• Every file uploaded.
• Every prompt submitted.
• Every generated output.
• Every publication of generated content.
• Compliance with all applicable laws.
• Obtaining all required permissions and licenses.
• Verifying the accuracy and suitability of generated content before use. You acknowledge that Lumesoon does not monitor every activity performed through the platform.

29. Limitation of Liability

To the maximum extent permitted by applicable law, Lumesoon, its owners, directors, employees, contractors, licensors, affiliates, successors and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages arising out of or relating to your access to or use of the Services.

This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability or otherwise.

Without limitation, Lumesoon shall not be liable for:

• Loss of profits.
• Loss of revenue.
• Loss of business opportunities.
• Loss of contracts.
• Loss of customers.
• Loss of reputation.
• Loss of goodwill.
• Loss of anticipated savings.
• Business interruption.
• Loss of productivity.
• Loss of data.
• Corrupted files.
• Lost recordings.
• Lost voice models.
• Generated content errors.
• Security incidents beyond our reasonable control.
• Third party service failures.
• Payment processor failures.
• Internet outages.
• Cloud infrastructure failures.
• Device failures.
• Unauthorized access resulting from your own negligence.
• Decisions made using generated content. To the fullest extent permitted by law, Lumesoon's total aggregate liability arising from any claim relating to the Services shall not exceed the total amount actually paid by you to Lumesoon for the specific Service giving rise to the claim during the twelve months immediately preceding the event giving rise to the claim.

Where applicable law does not permit certain limitations, those limitations shall apply only to the maximum extent permitted by law.

Nothing in these Terms excludes liability that cannot legally be excluded.

30. Indemnification

You agree to defend, indemnify and hold harmless Lumesoon, its owners, affiliates, officers, employees, contractors, licensors, successors and service providers from and against any claims, actions, proceedings, liabilities, damages, judgments, penalties, fines, settlements, costs and expenses, including reasonable legal fees, arising from or relating to:

• Your use of the Services.
• Your uploaded content.
• Your generated content.
• Your voice recordings.
• Your cloned voices.
• Your violation of these Terms.
• Your violation of any applicable law.
• Your infringement of intellectual property rights.
• Your infringement of privacy rights.
• Your infringement of publicity rights.
• Any dispute between you and another person arising from your use of the Services. This obligation survives termination of your account.

31. Force Majeure

Lumesoon shall not be liable for any delay, interruption or failure to perform resulting from events beyond our reasonable control.

Such events include:

• Natural disasters.
• Floods.
• Fires.
• Earthquakes.
• Epidemics.
• Pandemics.
• War.
• Terrorism.
• Civil unrest.
• Government actions.
• Labor disputes.
• Utility failures.
• Internet disruptions.
• Cloud provider failures.
• Cyber attacks.
• Power outages.
• Payment network failures.
• Telecommunications failures. Performance affected by such events shall be suspended for the duration of the event.

32. Export Controls and Sanctions

You represent that your use of the Services complies with all applicable export control laws, sanctions regulations and trade restrictions.

You may not use the Services where prohibited by applicable law.

Lumesoon reserves the right to restrict access where necessary to comply with legal obligations.

33. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Lumesoon is legally established, without regard to conflict of law principles.

Nothing in these Terms limits any mandatory consumer rights that cannot be waived under applicable law.

34. Dispute Resolution

Before commencing legal proceedings, you agree to first contact Lumesoon and make reasonable efforts to resolve the dispute informally.

Any notice of dispute should clearly describe the issue and the requested resolution.

If a dispute cannot be resolved through good faith discussions within a reasonable period, either party may pursue available legal remedies in a court of competent jurisdiction unless another dispute resolution process is required by applicable law or agreed separately in writing.

35. Assignment

You may not assign, transfer or delegate your rights or obligations under these Terms without our prior written consent.

Lumesoon may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate restructuring, sale of assets or similar business transaction.

36. Severability

If any provision of these Terms is determined to be unlawful, invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

37. Waiver

Failure by Lumesoon to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

Any waiver must be in writing and signed by an authorized representative of Lumesoon.

38. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, Acceptable Use Policy, Voice Usage Policy, Copyright Policy, GDPR Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Lumesoon regarding your use of the Services.

They supersede all prior agreements, understandings and communications relating to the same subject matter.

39. Changes to These Terms

Lumesoon may revise these Terms from time to time.

Updated versions become effective upon publication unless otherwise stated.

Where required by applicable law, we will provide reasonable notice of material changes.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.

If you do not agree with the updated Terms, you must stop using the Services and, where applicable, cancel your account.

41. Electronic Communications

Electronic communications satisfy any legal requirement that such communications be in writing, where permitted by applicable law.

42. Survival

The following provisions survive termination or expiration of these Terms:

• Payment obligations.
• Intellectual property rights.
• User representations and warranties.
• User content licenses granted under these Terms.
• Indemnification.
• Disclaimer of warranties.
• Limitation of liability.
• Governing law.
• Dispute resolution.
• Data retention.
• Any provision that by its nature is intended to survive termination. By continuing to use Lumesoon, you acknowledge that you have read, understood and agree to be bound by these Terms of Service.

43. Right to Refuse Service

To the fullest extent permitted by applicable law, Lumesoon reserves the right, at its sole discretion, to refuse, suspend, restrict or discontinue access to any part of the Services at any time.

This includes the right to:

• Reject new account registrations.
• Refuse subscription purchases.
• Reject payment attempts.
• Suspend or terminate accounts.
• Restrict platform features.
• Disable APIs.
• Remove uploaded content.
• Remove generated content where necessary.
• Prevent future registrations. Where reasonably possible, we may provide notice before taking action. However, we are not required to do so where immediate action is necessary to protect the Services, our users or our legal interests.

Except where required by applicable law, such actions do not create any obligation to provide compensation, damages or refunds.

44. Fraud Prevention

Lumesoon actively investigates suspected fraud and abuse.

We may suspend accounts while investigating activity including:

• Identity fraud.
• Payment fraud.
• Stolen payment methods.
• Money laundering.
• Promotion abuse.
• Referral abuse.
• Affiliate abuse.
• Credit abuse.
• Multiple account abuse.
• Unauthorized account access.
• Artificial usage intended to manipulate platform limits. Users agree to cooperate with reasonable verification requests during investigations.

Failure to cooperate may result in account suspension or permanent termination.

45. Chargebacks and Payment Disputes

Submitting a chargeback or payment dispute without first contacting Lumesoon to resolve the issue may result in:

• Immediate account suspension.
• Loss of unused credits.
• Cancellation of subscriptions.
• Affiliate commission forfeiture where permitted by law.
• Permanent restriction from future purchases.
• Collection of unpaid balances where legally permitted. Nothing in this section limits your statutory rights to dispute unauthorized transactions.

46. Promotional Credits

Promotional credits, bonus credits, referral credits and complimentary credits remain the property of Lumesoon until used.

Lumesoon may modify, reduce or remove promotional credits where:

• Fraud is detected.
• Abuse is detected.
• Promotions are cancelled.
• Accounts violate these Terms.
• Credits were issued in error. Promotional credits cannot be exchanged for cash.

47. Fair Use

Some Services may be subject to reasonable usage limits designed to protect platform performance and service quality.

Where usage substantially exceeds normal or intended use, Lumesoon may:

• Reduce processing priority.
• Apply temporary usage limits.
• Require plan upgrades.
• Restrict excessive automated usage.
• Suspend abusive activity. Fair usage measures are intended solely to maintain reliable service for all users.

48. Automated Access

Unless expressly authorized by Lumesoon, you may not use automated methods to access or interact with the Services.

This includes:

• Bots.
• Crawlers.
• Scrapers.
• Automated account creation.
• Automated purchasing.
• Automated credit collection.
• Automated abuse of promotional offers. Reasonable search engine indexing is permitted where authorized.

49. Security Testing

You must not attempt to identify, exploit or disclose vulnerabilities affecting the Services without our prior written authorization.

Prohibited activities include:

• Penetration testing.
• Vulnerability scanning.
• Stress testing.
• Distributed denial of service attacks.
• Exploitation attempts.
• Credential stuffing.
• Brute force attacks. Authorized security researchers should report vulnerabilities responsibly through our designated security contact.

50. No Circumvention

You may not attempt to bypass:

• Credit limits.
• Subscription restrictions.
• Account limitations.
• Usage quotas.
• Geographic restrictions.
• API restrictions.
• Platform security controls. Attempts to circumvent these restrictions constitute a material breach of these Terms.

51. Enterprise Accounts

Organizations using enterprise or business accounts remain responsible for all activity performed by their employees, contractors and authorized users.

Enterprise administrators are responsible for managing access permissions and protecting account credentials.

52. Affiliate Program

Participation in the Lumesoon Affiliate Program is subject to separate Affiliate Terms together with these Terms of Service.

Affiliate commissions:

• Are considered pending until the applicable refund review period expires.
• Become eligible for withdrawal only after they have fully cleared.
• May be reversed for refunded, fraudulent or cancelled transactions.
• May be withheld during fraud investigations. Minimum withdrawal thresholds, supported currencies, payment schedules and payout methods are determined by the platform settings and may change from time to time.

Participation in the Affiliate Program does not create an employment relationship, partnership, agency or joint venture with Lumesoon.

53. Service Improvements

Lumesoon may improve, retrain, optimize or replace components of the Services to improve quality, security, reliability and performance.

Such improvements do not guarantee identical outputs over time.

Generated results may vary following updates.

54. Third Party Components

55. Export Compliance

You agree not to export, re-export or use the Services in violation of applicable export control laws, sanctions or trade restrictions.

Lumesoon may restrict access where required to comply with legal obligations.

56. Reservation of Rights

Except for the limited rights expressly granted under these Terms, all rights, title and interests in and to the Services remain reserved by Lumesoon.

No license is granted by implication, waiver or otherwise.

57. No Partnership

Nothing contained in these Terms creates any partnership, joint venture, employment, agency, franchise or fiduciary relationship between you and Lumesoon.

Neither party has authority to bind the other except as expressly agreed in writing.

58. Interpretation

Headings are included for convenience only and do not affect interpretation.

Words including the singular include the plural where appropriate.

References to applicable law include future amendments to those laws.

Any ambiguity shall not be interpreted against either party solely because that party prepared these Terms.

59. Language

These Terms are prepared in English.

Where translations are provided for convenience, the English version shall prevail to the extent permitted by applicable law in the event of any inconsistency.

60. Notices

Where these Terms require notice, notices may be provided electronically through:

• Your registered email address.
• Your Lumesoon account.
• The Lumesoon website.
• Other reasonable electronic communication methods. You are responsible for keeping your contact information current.

Failure to receive a notice due to outdated account information does not invalidate the notice where it was sent to the most recent contact details you provided.

61. Independent Operation

If any right or remedy under these Terms can be exercised independently of another right or remedy, the exercise of one right does not prevent the later exercise of any other right.

All rights and remedies available to Lumesoon are cumulative and are in addition to any rights available under applicable law.

62. Survival of Investigations

Termination of your account does not prevent Lumesoon from continuing investigations relating to fraud, abuse, payment disputes, unlawful conduct or violations of these Terms.

Lumesoon may retain and use relevant records for such investigations to the extent permitted by applicable law.

63. Statute of Limitations

To the fullest extent permitted by applicable law, any claim arising out of or relating to the Services must be commenced within one year after the event giving rise to the claim, unless a longer period is required by applicable law.

Claims brought after that period may be barred to the extent permitted by law.

64. Electronic Acceptance

By clicking any button indicating acceptance, creating an account, subscribing, purchasing credits or otherwise using the Services, you acknowledge that your electronic acceptance has the same legal effect as a handwritten signature, to the extent permitted by applicable law.
